The code of conduct we have mentioned below is applicable to all the board members as well as on the senior management personnel of the company. • Equal Opportunities – All the board members should ensure that they are fair, honest and should not discriminate on the basis of gender, religion, origin, age etc. • Accountability – They should always work with responsibility and for the benefit of the organization. All their deeds should be transparent and fair. • Ethical Conduct – In all the business dealings, they should always practice professionalism, corporate discipline and ethical standards. • Conflict Of Interest – They should never adopt any practices that are not in the favor of the company’s growth. • Financial Reporting – The accounting principles, guidelines, principles, laws and regulations should be followed while preparing and maintaining the financial records of the company.

• Health and Safety - All the employees of the organization, should be provided with safe, healthy and encouraging working atmosphere.

• Customer Relations – Customers should be the priority and they should be served with products that are as per the National and International standards. Innovation and creativity should also be maintained in the products.

• Shareholders – All the shareholders should receive the correct and timely information that is in agreement with the applicable provisions and shall work for the value addition to the stakeholders of the company.

This Code of Conduct shall be referred to as "LIBERTY SHOES LIMITED" Code of Conduct for prohibition of Insider Trading”. This Code of Conduct has been made pursuant to Regulation 12 of the SEBI (Prohibition of Insider Trading) Regulations, 1992, as amended, hereinafter referred to as the "Regulations ". The code for prohibition of insider trading is pertinent for the Directors/Officers/Designated Employees of Liberty Shoes Limited and their dependent family members.

Directors/Officers/Designated Employees shall keep the privacy and secrecy of all price sensitive information. They should not directly or indirectly pass such information to any person by way of making a suggestion for the purchase or sale of securities of the organization. Files and documents that bear the confidential information shall be kept secure and should be disclosed only to those within the organization who need the information to perform their duty. Also all the soft files in the computer should have required security of login and password, etc.

Advertising campaigns are the interface between an organization and its target audience. Our campaigns always evolve around human emotions and this has been the reason that our buyers have always been able to identify with them. We have invested a considerable portion of money in these campaigns and have taken help of print media, electronic media, radio and televisions. They have always been creative and share our idea which has helped us to hold an effective communication between our company and our buyers.

• Statutory Compliance – They should always follow all the obligatory and legal provisions, rules, regulations / guidelines as pertinent on the organization under various statutes

• Insider Trading – They should abide by the guidelines for prevention of insider trading.

• Protecting Company's Assets – There should be not be any misusage of tangible as well as intangible assets of the organization. Also all the assets should be protected and safeguarded against any loss, damage, theft etc.

• Concurrent Employment – They are not liable to accept any service or any job with any other enterprise except with the prior approval of the Executive Director.

• Integrity Of Data – They should always make certain that they should keep full integrity towards the company’s sensitive data and information.
