Contrary to what a lot of people believe, designing an ESOP Scheme is a fairly comprehensive exercise where you thoroughly answer questions like who should get, why should they get, how much, over what period, what terms and conditions, should the conditions be different for different employee groups, how much equity should I dilute, what if the IPO does not happen (for an unlisted company), should I buy back the ESOP shares from the employees, what if the markets go down, is there a magic in the 5% equity dilution that everyone seems to talk about, etc.
It is not just an ESOP Scheme. It is a gesture by which you are trying to make your team think, feel and act the way you do for your organisation. In many cases, it is actually an Emotional Stock Option Scheme. You can’t do such a thing in a hurry or, as some people suggest "just copy and paste some other company's ESOP Scheme". Our Founders

Tarun has been working exclusively in the stock-based compensation domain since 2004. During this period, he has had an opportunity to interact with and advise over two hundred companies in India on designing and implementing their employee stock option schemes. His experience spanned a variety of companies – start ups, mid-size, large industrial houses, listed, unlisted – and range of sectors – pharmaceutical, banking, real estate, engineering & construction, financial services, IT &ITES, media, retail, manufacturing, aviation etc.
Tarun has been associated with various Venture Capital Funds, Private Equity Funds and Investment Banks in a similar context and has also advised on certain specific CEO-level compensation structuring issues. His views on the subject are also reported in business newspapers and journals.

We also help you with other related services that you might need off and on such as valuation of options, annual disclosures, etc.
Due to much higher familiarity and usage as an instrument, we would be using the term ESOP as a generic term for all stock-based compensation instruments like Employee Stock Options, Employee Stock Purchase, Phantom Stock, Stock Appreciation Rights, Restricted Stock, RSUs, etc.
After implementing the Esop Scheme, every year, as per law, you would need to do a valuation of each grant of options using an options pricing model (most commonly used being the Black Scholes Options Pricing Model) and also provide detailed statutory disclosures in a particular format in the Annual Report. This is for listed as well as for unlisted companies. We would be glad to help you with this annually.
We also engage with companies on a long-term basis where we meet them periodically to discuss / review all the esop strategy issues to ensure everything is on track. Periodic employee communication sessions are also done to make sure people continue to remember and attach value to the esops granted to them. This is particularly important in unlisted companies and can sometimes be extremely critical to the success of the Scheme.
